Terms and Conditions Agreement

By purchasing the service VAI&VEM customer agrees to Terms and Conditions set forth herein. This agreement is between WBC Communications, Inc. (collectively “WBC”, “we” or “us” ) and the customer (“you”, “user” or “end user”) of WBC VAI&VEM service.

1. Disclaimer of Warranty
VAI&VEM site and all the materials and products on it are provided "as is" and without warranties of any kind, whether express or implied. Unless stated otherwise in this Agreement, WBC makes no warranty ,guarantee or representation, either expressed or implied, regarding the quality merchantability, accuracy, reliability, condition or fitness of the services for any particular use or purpose. Services are not redeemable for cash, not transferable or reimbursable, and without residual value.

2. Limitation of Liability
Customer acknowledges that in no event WBC will be liable for direct, indirect, incidental, special, and/or consequential damages such as loss of profits and/or income arising out of or connected to the use or provision of the services. The total liability for any loss or damage by the user as a result of any action or failure to act on the part of WBC , whether WBC known or should have known that damages could occur or be incurred, shall be limited to the cost of the unused portion of the Services. WBC shall not be liable for any damages as a result of causes outside its control or not directly attributable to the Services. WBC is not responsible for lost, theft or unauthorized use of the services.

3. Term
VAI&VEM is a monthly service with a term that starts on the day WBC set up the account for the customer and finishes 30 days after that day. Unless costumer requests the closing of the service, VAI&VEM renews automatically on the same day of the month the account was activated. Terminations need to be written notes send by email; at least 7 days from the renewal day. No refunds are given to terminations of service prior to the end of the term.

4. Charges
By signing up VAI&VEM, customer authorizes WBC to automatically charge; once a month, the flat monthly cost of the service. The optional prepaid credit will be charged pursuant customer’s request. The debit/credit on WBC file will be the one chosen by the customer, the day the service is activated. Customer has the obligation of notify WBC; at least, 7 days prior of the end of term, of any changes on debit/credit card number or expiration date.

In the circumstance of a non-approved charge by the customer’s debit/credit card bank, WBC has the right to hold the service disabled for use, until customer supplies WBC with the new debit/credit card information and WBC is able to submit a successful charge of the service.

Should the service be disabled for more than 7 days after the unsuccessful charge, and WBC being unable to contact customer in that period, WBC reserves the right to terminate the service without further notice to the customer.

5. Reassignment of  Number and Reactivation of Service
Upon termination of service WBC may, at its sole discretion, reassign the telephone number or DID; once assigned to you, to another customer. In case you decide to reactivate VAI&VEM, we cannot guarantee you will be assigned the same number or DID you were provided before.

6. Restrictions
There are certain restrictions and fees imposed by local telephone companies and wireless phone companies in the countries where VAI&VEM is provided.
WBC is not responsible for any local cost or fee charged by the local carrier of the user that originates the call to access VAI&VEM; due to the user local plan terms and conditions.

7. Billing
For VAI&VEM terminating in Continental USA, the incoming calls are unlimited and are charged on a flat cost/month basis, in the amount established on the Direct Line List. The outgoing calls are optional and only allowed pursuant a deposit of US$20 minimum credit. In this case, calls are billed in one-minute increments and cost/minute for each city in the world is established on the Voip1, Voip2 Rates or Voip3 Rates, according to the plan chosen.

For VAI&VEM originating and terminating out of Continental US, the incoming and outgoing calls are billed in one-minute increments and cost/minute for each city in the world is established on the Voip1, Voip2 Rates or Voip3 Rates, according to the plan chosen. A minimum credit of US$20 is mandatory for the incoming and outgoing calls in the service.

Should the account have a remaining credit at the end of the term, this amount is rolled over to the next month for the customer to use it.

8. Taxes
Customer is responsible for any applicable tax, such as local, state, federal or any governmental communication fee that is imposed for telecommunications services. Tax exempt customers will be considered after WBC receives a copy of the current certificate.
